Vicis Law PC, a California law firm (“Vicis Law,” “Vicis,” “we,” “us,” or “our”), maintains and operates www.vicislaw.com (the “Website”), including all information, products and services available on the Website, to users of the Website (“You,” or “User”), conditioned upon your acceptance of all of the terms and conditions stated herein (the “Terms”). By using the Website, you acknowledge and agree to follow and be bound by the Terms and our Privacy Policy, which is expressly incorporated into these Terms by reference. If you sign up for our Services, you acknowledge and agree to be bound by these Terms, our Privacy Policy, as well as the client engagement letter between you and Vicis Law (as described in further detail below). If you do not agree with these Terms then you are prohibited from using the Website or purchasing a product or service on this Website.

  1. Attorney-Client Relationship

VICIS RESERVES THE RIGHT TO DECLINE TO PERFORM LEGAL SERVICES REQUESTED THROUGH THE WEBSITE. NO ATTORNEY-CLIENT RELATIONSHIP IS ESTABLISHED UNTIL AN ENGAGEMENT LETTER HAS BEEN EXECUTED BETWEEN YOU AND VICIS. YOU UNDERSTAND THAT USE OF THE WEBSITE, IN PART OR IN WHOLE, AND/OR COMMUNICATION WITH VICIS THROUGH THE WEBSITE, DOES NOT CONSTITUTE AN AGREEMENT TO PERFORM SERVICES OR CREATE AN ATTORNEY-CLIENT RELATIONSHIP.

  1. Engagement Process

Following the purchase of products or services on the Website but prior to entering into an executed engagement letter between you and Vicis we will review your request for services. If we are able to represent you as a client, we will send you an engagement letter to sign which contains the specific details of our engagement with you. This process typically takes two (2) business days to complete but may require more or less time depending on the complexity of your specific situation. Full execution of our engagement letter is required before we can deliver our services to you.

  1. Fees

Your payment for services is considered a retainer and will be deemed earned upon completion of our engagement process described herein. Specific fees will depend on which services you select to purchase through the Website or as otherwise communicated by you to us.

A “Managed Privacy Compliance” subscription is a monthly or annual subscription service. Your subscription will start when Vicis completes our internal engagement process to accept you as a client and confirms receipt of your payment.

When you purchase a monthly subscription, our services will continue for a period of one (1) month. At the end of the monthly subscription period, you will automatically be signed up and billed for an additional subscription term of another month at then-current pricing, unless terminated as set forth herein.

When you purchase an annual subscription, our services will continue for a period of one year. At the end of the yearly subscription period, you will automatically be signed up and billed for an additional subscription term of one year at then-current pricing, unless terminated as set forth herein.

  1. Products and Services

Vicis may at any time discontinue, limit or otherwise prevent the sale of our products or services to any person, geographic region or jurisdiction. Descriptions of our products and services, including pricing details, are subject to change at any time without prior notice. Any offer for any product or service made on this site is void where prohibited.

  1. Termination

These Terms are effective unless and until terminated by you or Vicis.  You may terminate a current subscription by logging into your account and cancelling your subscription. Your subscription will terminate at the end of the then current term and your subscription will not automatically renew. You will not be refunded for any fees paid for the then current subscription term. For non-clients who are visiting the Website, you may terminate these Terms by immediately stopping any and all use of the Website. Vicis may terminate your subscription by providing you with written notice prior to the end of the current term.

  1. License to use Website

This Website is protected by the copyright laws of the United States and its various jurisdictions. You may print a copy of any part of the Website for your own personal, non-commercial use, but are prohibited from copying any part of this Website for any other purpose. You may not modify any part of this Website for any reason and may not include any part of this Website in another by linking, framing, or otherwise.

  1. Acceptable use

You may not use this Website in any way that causes, or may cause, damage to, or impairs the availability of, the Website. You may not use this Website in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. Any information sent by a non-client to Vicis will not be considered confidential or protected by attorney-client privilege. By sending unencrypted sensitive or confidential email messages, you accept the risks of such uncertainty and possible lack of confidentiality.

Without prejudice to the other rights of Vicis Law PC under these Terms, if you breach these Terms in any way, we may take such action as we deem appropriate to deal with such breach, including, but not limited to, suspending your access to the Website, prohibiting you from accessing the Website, blocking computers using your IP address from accessing the Website, terminating our engagement with you (if applicable), and/or bringing court proceedings against you.

  1. Variation

Vicis Law reserves the right to amend these Terms at any time, for any reason, without notice to you, other than the posting of the amended Terms on this website. Changes to these Terms are effective when they are posted on this page. When we change these Terms in a material manner we will let you know by updating the “Effective Date” at the bottom of this page. It is your responsibility to regularly check these Terms to ensure you are familiar with the current version.

  1. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable under applicable law, that portion shall be construed in a manner that is consistent with applicable laws. All other provisions of the Terms shall remain in full force and effect. If any invalid, unlawful and/or unenforceable provision would be valid, lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the remaining provisions will continue in full force and effect.

  1. Assignment

You may not transfer, assign or otherwise deal with your rights and/or obligations under these Terms.

  1. Entire Agreement

These Terms constitute the entire agreement between you and Vicis Law PC in relation to your use of this Website, and supersede all previous agreements in respect of your use of this Website. The failure by Vicis Law to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. To the extent that these Terms and your engagement letter with Vicis conflict in any manner, the terms of your engagement letter with Vicis will apply.

  1. Law and Jurisdiction

These Terms will be governed by and construed in accordance with the law of the State of California, without regard to its conflict of law provisions.
